This Demo & Evaluation Access Agreement ("Agreement") governs access to and use of the NeuroQuest demo, prototype, or product ("Service") provided by NeuroQuest (Carlin Guarneri) ("Company," "we," "us"). By accessing or using the Service, you agree to this Agreement.
1. Pre-Release Status
The Service is currently in demo, prototype, or beta form. Features, functionality, and availability may change, break, or be discontinued at any time without notice. The Service is provided for evaluation and early access purposes and is not a finished commercial product.
2. Eligibility
You must be at least 18 years old to access or use the Service. By using the Service, you confirm you meet this requirement.
3. Your Account
If the Service requires an account, you are responsible for keeping your login credentials secure and for all activity under your account. Notify us immediately if you suspect unauthorized access.
4. Acceptable Use
You agree not to:
● Copy, reverse engineer, decompile, or attempt to extract the underlying design, architecture, or source code of the Service
● Use the Service to build a competing product
● Share access credentials or demo access with anyone not authorized by Company
● Use the Service for any unlawful purpose
● Interfere with or disrupt the Service's operation
5. Not Medical or Therapeutic Advice
The Service is a productivity tool. It is not medical, psychological, or therapeutic advice, and it is not intended to diagnose, treat, cure, or prevent ADHD or any other condition. It is not a substitute for care from a licensed professional. If you have concerns about your health, talk to a doctor or therapist.
6. Content You Submit
This is pre-release software. Please don't enter anything into the demo that you wouldn't want shared, including sensitive personal information, medical information, or proprietary or confidential information or intellectual property belonging to you or anyone else. Company does not intend to use or share what you enter beyond operating and evaluating the Service, but pre-release software carries more risk than a finished product, so please submit content accordingly.
7. Intellectual Property
The Service, including its design, features, technology, and all associated intellectual property, is owned by Company. Nothing in these Terms transfers any ownership or license rights to you beyond what is needed to use the Service as intended. Any feedback you provide about the Service may be used by Company without obligation or compensation to you.
8. Confidentiality
If you have signed a separate Non-Disclosure Agreement with Company, that agreement continues to apply and takes precedence over these Terms regarding confidential information.
9. No Warranty
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. Company does not guarantee the Service will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Company is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Company's total liability for any claim related to the Service is limited to the amount, if any, you paid to access it.
11. Termination
Company may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms.
12. Changes to These Terms
Company may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.
13. Governing Law
These Terms are governed by the laws of Connecticut, without regard to conflict of law principles.
